Job Description

WHAT IS THE OPPORTUNITY?

As Counsel in the Public Company Group at RBC you will have the exciting opportunity to provide legal advice and support to Corporate Treasury, Compliance, Finance and other Enterprise Functions and Businesses on a broad range of securities and corporate law matters including, enterprise capital and funding transactions, insider reporting, quarterly and annual financial reporting, continuous disclosure issues, aggregation and other matters involving legal risk.

WHAT WILL YOU DO?

  • Support the Enterprise and Corporate Treasury on funding and capital raising transactions, including preferred share, subordinated debt, senior debt, covered bonds and securitization transactions and the bank’s normal course issuer bid.

  • Execute transactions and maintain shelf prospectuses and related materials and disclosures in relation to the Canadian preferred share and subordinated debt program, Canadian covered bond program, U.S. medium term note program, global covered bond program, European medium term note program and Golden Credit Card Trust and Real Estate Investment Trust securitization programs.

  • Provide securities and corporate law advice to the Enterprise on a variety of other matters including in relation to insider reporting obligations, aggregation issues, the Enterprise Dividend Reinvestment Program, stock exchange listing and governance requirements, internal and external presentations and other related matters.

WHAT DO YOU NEED TO SUCCEED?

Must have:

  • Minimum of 2 years of securities and corporate law experience.

  • Demonstrated ability to triage and assess situations and determine the appropriate escalation actions. Required: LLB in good standing, called to the Bar of a Canadian province, membership in applicable law society or bar association.

  • Experience providing support and coordinating files with the ability to manage contentious issues.

  • Strong written, oral communication and presentation skills.

  • Ability to persuade and influence senior executives and business partners.

  • Ability to work independently and collaboratively, including exercise good practical judgment.
